Why Should I Set Up My Company in the Seychelles?

What are the requirements that a Seychelles IBC must meet?

A Seychelles IBC has to have a Register of Directors and Register of Shareholders listed at an address in the Seychelles. The Registrar of Companies must know of the locations, but this information is not publicly disclosed. If you are looking for more confidentiality, many Seychelle-based offshore entities employ nominee services; please note that this practice is not a requirement. 

A Seychelles IBC must have a registered agent, office, and a deposit and bank account based in the Seychelles. The firm must also pay a 100USD government fee when registering the IBC and every following year that the company is in operation. Every IBC, regardless of size and earnings, must pay this amount. In other offshore jurisdictions, you may pay more if your authorised capital exceeds a certain threshold. 

 

How can I register an offshore IBC in Seychelles?

You need to submit a proposed name for your Seychelles IBC, along with the appropriate suffix. If the documents are not written in English or French, you must also provide a translation of the documents. If all documentation is submitted on time, the full registration process can take just two days and the approval process can last less than 30 minutes. 

 

What are the advantages of a Seychelles IBC?

As long as your Seychelles IBC does not do business inside the Seychelles, you do not have to pay income taxes on income generated outside the nation. You can, however, do business with other Seychelle IBCs. Here are some of the other perks of registering your offshore corporation within the Seychelles IBC structure: 

  • You are not required to provide accounting records, file account information or submit tax returns, as long as you conduct all of your business and generate your income outside of the Seychelles.

  • Full tax exemption on all transactions outside Seychelles territory.

  • High level of corporate confidentiality.

  • No minimum share value requirement.

Although your Seychelles IBC avoids domestic taxes if all business is conducted abroad, there are still some perks within the Seychelles for registered IBCs. Along with maintaining bank and deposit accounts, your Seychelles IBC can allow for the following benefits: 

  • Maintain your records and books in Seychelles.

  • Create professional relationships with accountants, trust and management firms, investment advisories, attorneys or other entities of this kind in the Seychelles.

  • Own a plane or boat that is registered under the Seychelles flag.

  • Be a shareholder in the Seychelles IBC (for Seychelles residents)

  • Host meetings for its directors in Seychelles territory
